Terms of Service

1. Acceptance of Terms

By accessing and using the Ekfix Shift Manager Service operated by Ekfix LLP ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all provisions of these Terms, you may not use the Service. We reserve the right to modify these Terms at any time. Your continued use of the Service following any modifications constitutes your acceptance of the updated Terms.

2. Use License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for lawful purposes in accordance with these Terms.

You may not: (a) modify or copy the Service; (b) use the Service for unauthorized purposes; (c) attempt to gain unauthorized access; (d) interfere with the Service's operation; (e) reverse engineer or decompile; (f) remove copyright or proprietary notices; (g) violate any applicable laws.

3. User Accounts

3.1 Account Creation

You are responsible for providing accurate information during registration. You must be at least 13 years of age to use the Service.

3.2 Authentication Security

You are responsible for maintaining the confidentiality of your phone number, PIN, passphrase, and authentication credentials. You agree to accept responsibility for all activities occurring under your account. Notify us immediately of unauthorized access or security breaches.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, misuse the Service, or engage in illegal activities. We may also terminate inactive accounts after 12 months of non-use.

4. Volunteer Code of Conduct

As a volunteer, you commit to:

  • Honoring scheduled shifts and providing timely notice of cancellations.
  • Maintaining professionalism and respectful conduct toward managers and fellow volunteers.
  • Providing accurate availability information.
  • Complying with all organization policies and procedures.
  • Treating all confidential information appropriately.
  • Not using the platform to harass, discriminate, or behave inappropriately toward others.

5. Manager Responsibilities

Organization managers using the Service agree to:

  • Use volunteer information only for scheduling and legitimate operational purposes.
  • Respect volunteer privacy and data protection requirements.
  • Not share volunteer personal information with unauthorized third parties.
  • Maintain accurate scheduling records.
  • Comply with all applicable employment and volunteer laws.
  • Provide a safe and professional environment for volunteers.

6. Prohibited Activities

You may not:

  • Violate any laws or regulations.
  • Harass, threaten, or discriminate against other users.
  • Attempt to gain unauthorized access or bypass security measures.
  • Transmit viruses, malware, or harmful code.
  • Engage in spam, phishing, or social engineering.
  • Impersonate another person or entity.
  • Collect or track personal information of others without consent.
  • Use the Service for commercial purposes without authorization.
  • Interfere with Service availability or functionality.
  • Violate intellectual property rights.

7. Intellectual Property Rights

All content in the Service, including design, text, graphics, logos, and software, is the property of Ekfix LLP or its licensors and is protected by international copyright laws. You may not reproduce, distribute, or transmit any content without written permission.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "AS IS" without warranties of any kind, expressed or implied.
  • We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages.
  • Our total liability shall not exceed the amount you paid for the Service.
  • Some jurisdictions do not allow liability limitations; extent of liability will be limited as permitted by law.

9. Indemnification

You agree to indemnify and hold harmless Shift Manager, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms or applicable laws.

10. Service Availability & Maintenance

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service availability. We may perform maintenance, updates, or improvements without notice. We are not liable for service interruptions.

11. Third-Party Links

The Service may contain links to third-party websites and services. We are not responsible for their content, accuracy, or practices. Your use of third-party services is governed by their terms and privacy policies.

12. NDPR Compliance

Ekfix LLP complies with Nigeria's Data Protection Regulation (NDPR). Users acknowledge that:

  • Personal data is processed in accordance with NDPR requirements.
  • Data subject rights (access, correction, deletion, portability) are available as required by NDPR.
  • Data breach notifications will be made within 30 days as required by law.
  • A designated Data Protection Officer is available at dpo@ekfix.com
  • Data transfers outside Nigeria comply with NDPR transfer restriction mechanisms.

13. Data Protection & GDPR Compliance

For users in the European Union, we comply with GDPR requirements including:

  • Lawful basis for processing personal data
  • Data subject rights (access, correction, deletion, portability)
  • Data protection impact assessments where applicable
  • Data Protection Officer availability for inquiries
  • International data transfer mechanisms

14. Changes & Termination

We may modify, suspend, or discontinue the Service with 30 days' notice. Upon termination, your access will be disabled and your data handled according to our Data Retention Policy.

15. Governing Law & Dispute Resolution

These Terms are governed by applicable local laws. Any disputes shall be resolved through binding arbitration or applicable courts in your jurisdiction.
